NO PURCHASE, DONATION OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS PROMOTION. A PURCHASE, DONATION OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING.
AGREEMENT TO RULES: By participating, you agree to abide by and be bound by these Official Rules (“Rules”) and all terms and conditions (“Terms”) set forth below, which are final and binding in all matters relating to “1 Hotel Central Park x Bask Suncare” Promotion (the “Promotion”). Winning a prize is contingent upon fulfilling all requirements set forth herein. 1414 Holdings, L.L.C., a Delaware limited liability company and its affiliates (“Sponsor”) reserves the right to interpret and apply these Rules and Terms in its sole discretion, and to modify or terminate the Promotion at any time.
ELIGIBILITY: The promotion is open only to legal residents of the United States of America (excluding U.S. possessions, territories, overseas military installations in foreign countries, outside of the 50 United States) who are 18 years of age or older on the date of entry. Not open to employees, officers or directors, or to members of the immediate family or household (whether related or not) of any employees, officers, or directors of Sponsor, SH Group Hotels & Residences U.S., L.L.C. or any of their affiliates, franchisees, or any advertising, promotion or other agencies or suppliers involved in this Promotion (collectively, the “Promotion Entities”). Eligibility may be verified at any time. The Promotion is subject to all applicable laws. If any provision of these Rules shall be unlawful, void, or unenforceable, that provision shall be deemed severable from the Terms, and the remaining Terms shall be enforced to the fullest extent allowed by law.
PROMOTION PERIOD: The Promotion begins on May 22, 2024, and ends on May 31, 2024 at 12:00 p.m. (ET) (the “Promotion Period”). SweepWidget is the official time-keeping device for the Promotion.
HOW TO ENTER: Visit the @1hotel.centralpark Instagram account (the “Website”) during the Promotion Period and follow the instructions to complete your free entry. To enter, entrants must like the indicated post on Instagram, follow 1 Hotel Central Park (@1hotel.centralpark) and Bask Suncare (@bask_suncare) on Instagram, and tag a friend on the applicable post. All entries must be received by the end of the Promotion Period. Proof of submission is not proof of receipt. Limit one (1) entry per person. Subsequent entries from the same person will be disqualified. Any attempt by a person to enter more than once with multiple Instagram accounts or any other means may result in disqualification. Automated or robotic entries submitted by individuals or organizations will be disqualified. This Promotion is in no way sponsored, endorsed or administered by, or associated with Instagram. Any questions, comments or complaints regarding this Promotion shall be directed to Sponsor and not Instagram.
DRAWING AND WINNER NOTIFICATION: The winner of the Promotion will be randomly selected from all eligible entries received throughout the Promotion Period. The random drawing will be conducted on or about June 1, 2024. The potential winner will be notified via Instagram direct message. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If a potential winner does not respond within seven (7) days after the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner may be disqualified and an alternate winner may be selected. If any potential winner is found to be ineligible, or if he or she has not complied with the Rules or Terms or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected. Each potential winner may be required to execute an Affidavit of Eligibility, a Liability Release, and (where legal) a Publicity Release (collectively, “Prize Claim Documents”). If any eligible winner is not of legal age of majority in his or her place of residence (a “minor”), at Sponsor’s option, the applicable prize either may be awarded in the name of parent or legal guardian of winner, or parent or legal guardian of winner may be required to ratify and sign all Prize Claim Documents.
PRIZES/ODDS: Subject to the Terms herein, the following prizes are available: A one-night stay (“Stay”) for up to two guests at 1 Hotel Central Park (“Hotel”), two (2), 1 Hotels branded hats (“Hats”), a $75 dining credit (“Credit”) usable at Jams NYC located within the Hotel during the Stay, two (2) SPF 50 Non-Aerosol Spray and two (2) full sized SPF 50 Lotion from Bask Suncare (“Bask Prize”; and together with the Hotel, Hats, and Credit, the “Prize”).ARV: $800. Any difference between the approximate retail value and the actual cost of each component will not be awarded.
Odds of winning depend on the number of eligible entries received.
PRIZE TERMS:
Date of Stay must be confirmed by winner and Sponsor and take place before June 1, 2025. Stay is subject to availability and blackout dates. The Prize is also subject to the following: (i) Sponsor shall determine the specifics of all elements of the Stay (including, without limitation, blackout dates, guest room type, etc.) and Hats (size, color, design, etc.) in its sole discretion, (ii) the Stay is subject to all Hotel rules, regulations and policies (including, without limitation, occupant restrictions as determined by the room type selected by the Hotel), (iii) the Stay shall cover the standard room rate for one (1) night at the Hotel (subject to these terms and conditions), (iv) the Prize does not include coverage of any expenses or other items other than as explicitly stated above, for example the Prize shall not include the following: transportation costs, food and beverage costs other than the Credit, parking costs, tips, payment of any taxes, or payment of any resort fees; (v) photo identification and a credit card may be required at Hotel check-in to verify the Prize winner’s identity and to cover any incidental charges or expenses (including all items not included in the room rate); (vi) the Credit may only be used at “Jams NYC” during the Stay by charging the bill to the winner’s room; (vii) the Hotel may close Jams NYC at any time for any reason and service at the restaurant is subject to availability; and (viii) once the Hotel accepts the Stay and creates a reservation, the Stay cannot be cancelled or modified except as permitted by Sponsor (in its sole discretion). The winner of the Prize shall comply with all requirements, failure to do so will result in forfeiture of the Prize without compensation of any kind. The listed approximate prize value is an estimate only and depending on winner and Hotel selections, the actual value of the Prize may be less than the listed estimate of value. Winner shall not be entitled to any additional compensation if the actual value of the Prize is less than the approximate value.
Any winner unable to travel to during specific dates may be ruled ineligible to win. In such event, the Prize may be awarded to the next eligible entrant. The Prize is nonrefundable and nontransferable. Sponsor is not required to (but may at its sole discretion) offer any substitutions, cash redemptions, or alternative to prizes awarded under this Promotion. Sponsor reserves the right to substitute a prize of equal value in the event a portion of the Prize is unavailable. Recipients of Prize must have a mailing address within the United States of America. Any prize awarded is subject to the restrictions and limitations noted in these Rules.
The Bask Prize will be provided solely by Bask Suncare and may be subject to a separate release of liability between Bask Suncare and winner. Sponsor shall have no liability in connection with the Bask Prize; including, without limitation, Bask Suncare’s failure to provide the Bask Prize to the winner.
All federal, state, and local taxes and fees, including income tax, sales tax, and any other expenses arising out of the receipt and use of any prize, are solely the responsibility of the winner. Any difference between the stated estimated value of the Prize and its actual value will not be awarded. Winner agrees to accept the Prize “as is.”
GENERAL PROVISIONS: Entrants (and any minor entrant’s parent or legal guardian) agree, to the extent allowed by applicable law, that the Promotion Entities and Instagram shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, from participation in the Promotion or any Promotion-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize.
Except where legally prohibited, the winner grants (and agrees to confirm in writing) permission for Sponsor and its advertising and promotional agencies, and those acting under the authority of each, the right to use the winner’s name and/or likeness in perpetuity for advertising and/or promotional purposes in all media now known or hereafter discovered, worldwide and on the world wide web, without notice, review, approval, or additional compensation. Delivery and use of any prize is subject to the winner’s completion of all documentation required by law or otherwise required by Sponsor. If the winner does not confirm these Terms and Conditions in writing within the time period and in the manner specified by Sponsor the Prize will be forfeited, and an alternate prize winner may be selected.
No responsibility for any damage to an entrant’s computer or phone system which is occasioned by accessing the Website or otherwise participating in the Promotion, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures or delays. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.
Sponsor reserves the right in its sole discretion to disqualify from this Promotion and any other promotions offered by Sponsor, any individual who is found to be tampering with the entry process or the operation of the Promotion or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Promotion, or to annoy, abuse, threaten or harass any other person. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted.
In the event of a dispute as to the identity of the entrant, any on-line entry will be deemed submitted by the authorized account holder of the Instagram account from which it was sent, provided such account holder must still meet the eligibility requirements for the Promotion.
Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. Sponsor will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the Rules or the Promotion and its decisions shall be final. If the conduct or outcome of the Promotion is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference or any event beyond the control of Sponsor, Sponsor reserves the right to terminate this Promotion, or make such other decisions regarding the outcome as it deems appropriate. All decisions will be made by Sponsor, and are final. Sponsor may waive any of these rules in its sole discretion. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER PERSON TO DELIBERATELY CIRCUMVENT, DISRUPT OR DAMAGE ORDINARY AND NORMAL OPERATION OF THIS PROMOTION, TELEPHONE SYSTEMS OR WEB SITES, OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT OR OTHER PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
By entering the Promotion, you agree, to the extent allowed by applicable law, that (i) any and all disputes, claims, and causes of action arising out of or in connection with the Promotion, or any prize awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to reasonable and actual out-of-pocket costs incurred, including costs associated with entering the Promotion, but in no event attorney's fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental, indirect or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for reasonable and actual out-of-pocket expenses. These rules and any disputes relating hereto are governed by the laws of the State of New York, USA, without regard to principles of conflicts of laws, and by entering you consent to the exclusive jurisdiction of the state and federal courts in New York City, USA, for resolution of any disputes relating to the Promotion and waive any objection thereto to the extend allowed by applicable law. IN NO EVENT SHALL SPONSOR, ANY HOTEL OR THEIR AFFILIATES BE LIABLE TO ANY PARTICIPANT FOR DAMAGES THAT EXCEED THE VALUE OF THE PRIZE TO BE AWARDED TO ANY ELIGIBLE PARTICIPANT IN THE PROMOTION.
