"Wrapped in Nature" Artist Submission

We’re teaming up with Wrappr to celebrate the beauty of nature, expressing our gratitude for the gifts it brings us by eliminating the waste generated from gifting—and inspiring others to Give Art, Not Waste. Ahead of the holiday season, we’re inviting creatives across the globe to submit their nature-inspired designs to be selected as the 1 Hotels x Wrappr custom print. The newly designed Furoshiki wraps will be showcased at Goodthings and across our website and social media platforms.

The deadline to submit your art is September 7 at 11:59 pm ET.

TERMS AND CONDITIONS

By participating in the WRAPPED IN NATURE (the “Contest”), you (“Artist”) agree to be bound, without limitation, by these terms, conditions, rules, regulations, requirements (the “Terms and Conditions”), and all decisions of SH Group U.S. Equity Holdings, L.L.C., Delaware limited liability company (“SH”) which decisions are final and binding. The Contest is sponsored by SH (“Sponsor”), in collaboration with Wrappr.

1. Entry: There is one (1) method of Contest entry.  Artist must submit one (1) eligible piece of artwork that is inspired by nature and/or the planet (“Submission”) at https://www.1hotels.com/wrapped-in-nature-artist-submission (the “Entry Form”), including, complete any information requested therein, and provide a valid email address. Submissions must be in a format supported by the Entry Form. Contest begins on August 1, 2023, at 9:00 am ET; and ends on September 7, 2023, at 11:59 pm ET (the “Contest Period”). Automated entries will be disqualified. Sponsor’s computer is the official time-keeping device for the Contest. New entries will not be accepted after the Contest Period. Artist remains responsible for coverage of all expenses incurred in connection with entering the Contest.

2. Eligibility: Except as otherwise provided, all Artists who are at least eighteen (18) years of age as of the first (1st) day of the Contest Period are eligible to enter the Contest. Employees of Sponsor, its members, affiliates, subsidiaries, agents, advertising agencies, and the immediate family or household members of each are not eligible. If there is a dispute as to any entry, the authorized account holder of the email address used to enter will be deemed to be the Artist.
Only one (1) Submission is allowed per person. Submissions must be personally created by an Artist (without collaboration), not contain elements that are subject to third-party intellectual property or proprietary rights, and not contain the Artist’s name or signature. Submissions must not contain objectionable, profane, offensive, or threatening material. Artist affirms they have the necessary rights, consents, and permissions to use all elements of a Submission. Sponsor may require proof of authorship. Sponsor retains the right to disqualify any Submission that (in Sponsor’s sole discretion) does not comply with these Terms and Conditions.
Each Artist represents that: (i) the Submission is original; (b) the Submission is not subject to any liens, claims, or restrictions of any kind; and (c) Sponsor may publicly display, reproduce and use the Submission without infringing on or violating any third party rights.

3. Prize Winner Selection: After the end of the Contest Period, Sponsor will select one (1) prize winner by among all eligible entries, taking into consideration the theme, creativity, overall impression, suitability for the Prize purpose, and originality of the Submission (the “Selection Process”). The exact nature, guidelines, and specifications of the Selection Process will be selected at Sponsor’s discretion. Sponsor will send one (1) email to the “Potential Winner” selected via the Selection Process to the email address listed by the Potential Winner on the Entry Form (the “Notification”). The Potential Winner must respond via email to Sponsor at [email protected] within forty-eight (48) hours of Notification (the “Response”). If Potential Winner cannot be contacted, does not timely respond to the Notification, and/or if the Notification is returned as undeliverable, such Potential Winner will be disqualified. If so, an alternate Potential Winner may be selected by Sponsor from the pool of remaining eligible participants. Upon (i) Notification to a Potential Winner; (ii) receipt by Sponsor of a Potential Winner’s Response; (iii) determination that a Potential Winner has met all eligibility requirements of the Contest; (iv) and execution by Potential Winner of any documentation or agreements requested by Sponsor and Wrappr; such Potential Winner will be the Contest “Winner.” 

4. Prize: One (1) Winner will:
•    Have their winning Submission printed on a signature fabric wrap created by Wrappr in collaboration with 1 Hotels; which will be sold at Sponsor’s discretion and promoted across Sponsor’s marketing platforms.
•    Receive a feature on the 1 Hotel’s website, social channels, and blog.
•    Receive promotion via 1 Hotel’s property and brand platforms including in select social media, digital, and email marketing efforts.
•    Subject to entering a written agreement provided by Sponsor, receive compensation for 1 Hotel’s usage of the Submission (compensation will be determined by SH) (collectively, the “Prize”). 

5. Prize Conditions: The Prize is subject to the following: (i) Sponsor shall determine the specifics of all Prize elements of the Prize in its sole discretion, (ii) the Prize does not include coverage of any expenses or other items; and (iii) photo identification may be required to verify the Winner’s identity. The Winner of the Prize shall comply with all other requirements set by Sponsor. The Prize must be accepted “as is” without warranty of any kind. No substitution or transfer of the Prize is permitted and no cash equivalent will be awarded. Winner shall make no public disclosures or announcements or make any press releases about the Contest without receiving the prior written consent of Sponsor.

6. Contest Conditions: The Winner is responsible for payment of all taxes and other fees applicable to the Prize, and any required reporting in connection therewith. Except where legally prohibited, each Artist grants (and agrees to confirm in writing) permission for Sponsor and those acting under Sponsor, the right to use the Submission, the Artist’s name, likeness, social media handles, signature, biographical information, description, and voice, in perpetuity for advertising purposes in all media now known or hereafter discovered, worldwide, and without notice, review, approval, or additional compensation. The Prize is subject to the Winner’s completion of all documentation required by law or otherwise required by Sponsor. In the event the Winner does not confirm these Terms and Conditions in writing in the time and manner specified by Sponsor the Prize will be forfeited.
The Contest is subject to all applicable laws. If any provision of these rules shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the Terms and Conditions, shall be enforced to the fullest extent allowed by law as to effectuate the intention of the parties, and shall not affect the validity and enforceability of any remaining provisions.

7. Conduct and Decisions: Persons who violate any rule or use fraudulent means will be disqualified. Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. Sponsor will interpret these Terms and Conditions and resolve any disputes or ambiguities concerning them and the Contest. Sponsor reserves the right to terminate this Contest at any time. Sponsor reserves the right to modify these Terms and Conditions at any time, without notice. All decisions will be made by Sponsor. Sponsor may waive any of these rules in its sole discretion. ANY ATTEMPT BY ANY PERSON TO CIRCUMVENT, DISRUPT OR DAMAGE OPERATION OF THE CONTEST, TELEPHONE SYSTEMS OR WEB SITES, OR UNDERMINE THE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

8. Waiver: Entry into the contest is at Artist’s sole risk. Each Artist agrees (and each Winner must confirm in writing) Sponsor, and its members, affiliates, and advertising agencies, and each of their respective officers, directors, employees, representatives, and agents (collectively, the “Released Parties”), will have no liability whatsoever for and shall be held harmless by Artist against any and all liability for any claims, injuries, loss, or damages of any kind to persons, including death, or property damage resulting in whole or in part, directly or indirectly, from any Prize or participation in this Contest.
Each Contestant further agrees to release and hold the Released Parties harmless from and against any claim or cause of action arising out of (a) intervention in the Contest; (b) technical errors related to computers, servers, providers, or telephone, or network lines; (c) printing errors; and (d) errors in the administration of the Contest.

9. Indemnity: Contestant agrees to indemnify, defend, and hold harmless the Released Parties from and against all claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including but not limited to attorney’s fees) arising from (i) violation of these Terms and Conditions; (ii) violation of any third party right, including without limitation any copyright, trademark, intellectual property, or other proprietary right in connection with the Contest; or (iii) any claim that a Submission caused any harm to any third party. These indemnifications obligations will survive the conclusion of the Contest indefinitely.

10. Limitation of Liability: Under no circumstances, including negligence, shall the Released Parties be liable for any direct, indirect, incidental, special, punitive, consequential, or other damages, including without limitation, property damage, personal injury and/or death, resulting from participation in the Contest or acceptance or use of any Prize. 

11. Binding Arbitration. Any controversy or claim arising out of or relating to these Terms and Conditions and/or this Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Miami, Florida, USA, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

12. Governing Law and Jurisdiction: This Contest and the Terms and Conditions are governed by and construed in accordance with the laws of the State of Florida without giving effect to any principles of conflicts of law. In connection with all proceedings that are not subject to arbitration as set forth in the Binding Arbitration Section above and/or for entering any judgment on an arbitration award, the parties hereby consent to the exclusive jurisdiction and venue of courts in Miami, Florida, U.S.A. THE PARTIES WAIVE ALL RIGHTS TO TRIAL IN ANY ACTION OR PROCEEDING INSTITUTED IN CONNECTION WITH THESE TERMS AND CONDITIONS AND/OR THIS CONTEST, INCLUDING WAIVER TO PROCEED IN A CLASS OR REPRESENTATIVE ACTION.

13. Privacy: Any information submitted as part of the Contest will be treated in accordance with Sponsor’s Privacy Policy at: https://www.1hotels.com/privacy-policy. In the event of a conflict between Sponsor’s Privacy Policy and these Terms and Conditions, these Terms and Conditions shall prevail.

14. Grant of Rights: Winner unconditionally assigns and transfers all worldwide rights, title, interest, character rights, intellectual property rights, proprietary rights, copyright, and any publicity rights contained in the Submission (including, without limitation, all “moral rights”) to Sponsor. Further, Winner waives any moral rights it may have in the Submission. Winner unconditionally assigns and transfers to Sponsor all rights, title, interest, and/or claim, which they have in the future. Sponsor has the irrevocable right to use, assign, license, exploit, resize, reprint, destroy, alter, sell, resell, modify, edit, adapt, dispose of, and electronically alter any Submission, in whole or in part, without compensation or additional consent from Sponsor or any third party. If requested by Sponsor, Winner shall confirm the foregoing in any written agreement requested by Sponsor and Wrappr.
