AGREEMENT TO RULES: By participating, you agree to abide by and be bound by these Official Rules (“Rules”) and all terms and conditions (“Terms”) set forth below, which are final and binding in all matters relating to “1 Hotels Earth Month Giveaway” Promotion (the “Promotion”). Winning a prize is contingent upon fulfilling all requirements set forth herein. Starwood Hotels U.S. Equity Holdings, L.L.C., a Delaware limited liability company (“Sponsor”) reserves the right to interpret and apply these Rules and Terms in its sole discretion, and to modify or terminate the Promotion at any time. 

ELIGIBILITY: The promotion is open only to legal residents of the United States of America (excluding U.S. possessions, territories, overseas military installations in foreign countries, outside of the 50 United States) who are 21 years of age or older on the date of entry.  Not open to employees, officers or directors, or to members of the immediate family or household (whether related or not) of any employees, officers, or directors of Sponsor, or any of its respective parents, subsidiaries, affiliates, franchisees, or any advertising, promotion or other agencies or suppliers involved in this Promotion (collectively, the “Promotion Entities”).  Eligibility may be verified at any time.  The Promotion is subject to all applicable laws. If any provision of these Rules shall be unlawful, void, or unenforceable, that provision shall be deemed severable from the Terms, and the remaining Terms shall be enforced to the fullest extent allowed by law.

PROMOTION PERIOD: The Promotion begins on April 1, 2025, at 7:00 p.m. (ET), and ends on April 31, 2025, at 11:59 p.m. (ET) (the “Promotion Period”). 

HOW TO ENTER: Visit either the 1 Hotels Instagram and/or TikTok page (collectively or individually, the “App” or the “Website”) during the Promotion Period and follow the instructions herein to complete your free entry. To enter, entrants must follow 1 Hotels (@1hotels) on both Instagram and TikTok then post their original video on either platform, tagging @1Hotels and including #1HotelsEarthMonth. All entries must be posted and visible to all users of the applicable App by the end of the Promotion Period.   Proof of submission is not proof of public visibility. Any questions, comments or complaints regarding this Promotion shall be directed to Sponsor and not Instagram or TikTok. By entering, you automatically release Instagram and TikTok of responsibility in connection with this promotion.

DRAWING AND WINNER NOTIFICATION: The winner of the Promotion will be selected from all eligible entries received throughout the Promotion Period on or about May 6, 2025. The potential winner will be notified via Instagram or TikTok direct message. The winner will be selected based on the originality, creativity, and inspiring quality of their entry, as determined by Sponsor in its sole discretion. The selected winner will become an official 1 Hotels Nature Creator, and will be required, upon request and for no additional compensation other than the 1 Hotel Prize described herein, to collaborate with 1 Hotels on original content during each stay to create at least one original video highlighting the hotel that is the subject of the stay. Creative briefs will be provided to guide storytelling and content development in line with brand standards. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If a potential winner does not respond within seven (7) days after the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner may be disqualified and an alternate winner may be selected.  If any potential winner is found to be ineligible, or if he or she has not complied with the Rules or Terms or declines a prize for any reason prior to award, such potential winner will be disqualified, and an alternate winner may be selected. Each potential winner may be required to execute an Affidavit of Eligibility, a Liability Release, and (where legal) a Publicity Release (collectively, “Prize Claim Documents”). If any eligible winner is not of legal age of majority in his or her place of residence (a “minor”), at Sponsor’s option, (1) the minor may be disqualified and an alternate winner selected, or (2) the applicable prize either may be awarded in the name of parent or legal guardian of winner, or parent or legal guardian of winner may be required to ratify and sign all Prize Claim Documents.    

PRIZES/ODDS: Subject to the Terms herein, the winner selected as the 1 Hotels Nature Creator will receive: three (3) two-night stays (“Stays”) for up to two guests at three different participating 1 Hotels properties in the United States (AVR $4,000), a $150 food and beverage credit for each stay (“F&B Credit”), and the opportunity to collaborate (with no additional compensation) with 1 Hotels on content creation during each Stay as outlined in more detail in the Section above and in the creative briefs to be provided by Sponsor, with the goal being that the winner will create and post a collaborative reel for each stay.

PRIZE TERMS: 

Dates of each two-night stay at a participating 1 Hotel must be confirmed by the winner and take place before April 30, 2026. Stay is subject to availability and blackout dates. Sponsor shall determine the participating 1 Hotels (each, a “Hotel”), in its sole discretion. The prize is also subject to the following: (i) Sponsor shall determine the specifics of all elements of the 1 Hotel Prize (including, without limitation, blackout dates, guest room type, etc.) in its sole discretion, (ii) use of the 1 Hotel Prize is subject to all Hotel rules, regulations and policies (including, without limitation, occupant restrictions as determined by the room type selected by the Hotel), (iii) the room nights included in the Stay must be used on consecutive nights, (iv) the Stay shall cover the standard room rate for two (2) nights at a Hotel (subject to these terms and conditions), (v) the F&B Credit may only be used at dining outlets selected by Hotel, and by charging the bill to the winner’s guestroom folio during the Stay; the F&B Credit may only be used at dining outlets selected by Hotel, and by charging the bill to the winner’s room; (vi) the F&B Credit  may only be used during the Stay dates; (vii) Hotel may close the spa, gym, health facilities, any food and beverage outlet at any time for any reason; (viii) the 1 Hotel Prize does not include coverage of any expenses or other items other than as explicitly stated above, for example the prize shall not include the following: transportation costs, food and beverage costs, parking costs, tips, payment of any taxes, or payment of any resort fees; (ix) photo identification and a credit card may be required at Hotel check-in to verify the prize winner’s identity and to cover any incidental charges or expenses (including all items not included in the room rate); and (x) once a Hotel accepts the Stay and creates a reservation, the Stay cannot be cancelled or modified except as permitted by Sponsor (in its sole discretion). The winner of the 1 Hotel Prize shall comply with all requirements, failure to do so will result in forfeiture of the prizes without compensation of any kind. The listed approximate prize value is an estimate only and depending on winner and Hotel selections, the actual value of the prize may be less than the listed estimate of value. Winner shall not be entitled to any additional compensation if the actual value of the prize is less than the approximate value.

Any winner unable to travel to a designated 1 Hotel during the specific dates may be ruled ineligible to win. In such event, the prizes may be awarded to the next eligible entrant. The 1 Hotel Prize is non-refundable and non-transferable. The Sponsor is not required to (but may at its sole discretion) offer any substitutions, cash redemptions, or alternative to prizes awarded under this Promotion. Sponsor reserves the right to substitute a prize of equal value in the event a prize is unavailable. Recipients of prize must have a mailing address within the United States of America. Any prize awarded is subject to the restrictions and limitations noted in these Rules.
 
All federal, state, and local taxes and fees, including income tax, sales tax, and any other expenses arising out of the receipt and use of the prize, are solely the responsibility of the winner. Any difference between the stated estimated value of the prize and its actual value will not be awarded. Winner agrees to accept prize “as is.”
 

GENERAL PROVISIONS:  

Entrants (and any minor entrant’s parent or legal guardian) agree, to the extent allowed by applicable law, that the Promotion Entities shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, from participation in the Promotion or any Promotion-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize.  

Except where legally prohibited, the winner grants (and agrees to confirm in writing) permission for Sponsor and its advertising and promotional agencies, and those acting under the authority of each, the right to use the winner’s name and/or likeness and the winning submission, as well as any other content related to the 1 Hotel Brand created during any 1 Hotel Prize stay,  in perpetuity for advertising and/or promotional purposes in all media now known or hereafter discovered, worldwide and on the world wide web, without notice, review, approval, or additional compensation. Delivery and use of the prize is subject to the winner’s completion of all documentation required by law or otherwise required by Sponsor. If the winner does not confirm these Terms and Conditions in writing within the time period and in the manner specified by Sponsor the prize will be forfeited, and an alternate prize winner may be selected.

No responsibility for any damage to an entrant’s computer or phone system which is occasioned by accessing the Website or otherwise participating in the Promotion, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures or delays.  Without limiting the generality of the foregoing, the Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due submissions or prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information.

If the conduct or outcome of the Promotion is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference or any event beyond the control of Sponsor, Sponsor reserves the right to terminate this Promotion, or make such other decisions regarding the outcome as it deems appropriate. All decisions will be made by Sponsor, and are final. Sponsor may waive any of these rules in its sole discretion. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER PERSON TO DELIBERATELY CIRCUMVENT, DISRUPT OR DAMAGE ORDINARY AND NORMAL OPERATION OF THIS PROMOTION, TELEPHONE SYSTEMS OR WEB SITES, OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT OR OTHER PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to any entry, the authorized account holder of the email address used to register the applicable Instagram account will be deemed to be the entrant.

LIMITATION OF LIABILITY:

By entering this Promotion, you waive all right to, and release and hold the Promotion Entities, Instagram, TikTok, and their respective affiliates, subsidiaries, and agencies, and all of their respective officers, directors, shareholders, partnership, members, principals, employees, agents, contractors or suppliers, harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys’ fees) of any kind relating to, arising out of or in connection with participation in this Promotion or the acceptance, use, or misuse of any prize and claims based on publicity rights, copyright, trademark, defamation or invasion of privacy. Except where prohibited, you agree that any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred in entering this Promotion. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE ANY AND ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA, WHICH PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” You expressly waive and release any right or benefit which you have or may have under Section 1542 of the Civil Code of the State of California, to the full extent that you may waive all such rights and benefits pertaining to the matters released here. In connection with such waiver and relinquishment, you acknowledge that you are aware that you may hereafter discover claims presently unknown or unsuspected, or facts in addition to or different from those which you now know or believe to be true, with respect to the matters released herein; nevertheless, it is your intention through this release to fully and finally and forever settle and release all such matters and claims relative thereto, which do not exist, may exist or heretofore have existed between yourself and the Promotion Entities related to the Promotion. The release herein given shall be and remain in effect as a full and complete release of such claims and matters notwithstanding the discovery or existence of any such additional or different claims or facts relative thereto.
