AGREEMENT TO RULES: By participating, you agree to abide by and be bound by these Official Rules (“Rules”) and all terms and conditions (“Terms”) set forth below, which are final and binding in all matters relating to “1 Hotels x AG1 Instagram Giveaway” Promotion (the “Promotion”). Winning a prize is contingent upon fulfilling all requirements set forth herein. SH Group U.S. Equity Holdings, L.L.C., a Delaware limited liability company and its affiliates (“Sponsor”) and AG1 USA Inc., a Nevada corporation and its affiliates (“AG1”) reserve the right to interpret and apply these Rules and Terms in their sole discretion, and to modify or terminate the Promotion at any time.  

ELIGIBILITY:  The promotion is open only to legal residents of the United States of America (excluding U.S. possessions, territories, overseas military installations in foreign countries, outside of the 50 United States) who are 18 years of age or older on the date of entry.  Not open to employees, officers or directors, or to members of the immediate family or household (whether related or not) of any employees, officers, or directors of Sponsor, AG1, or any of their respective parents, subsidiaries, affiliates, franchisees, or any advertising, promotion or other agencies or suppliers involved in this Promotion (collectively, the “Promotion Entities”).  Eligibility may be verified at any time.  The Promotion is subject to all applicable laws. If any provision of these Rules shall be unlawful, void, or unenforceable, that provision shall be deemed severable from the Terms, and the remaining Terms shall be enforced to the fullest extent allowed by law.

HOW TO ENTER:  Visit the 1 Hotels Instagram page (the “Website”) during the Promotion Period and follow the instructions to complete your free entry. To enter, entrants must like the announcement post, as well as follow 1 Hotels (@1hotels) and AG1 (@drinkag1) on Instagram. All entries must be received by the end of the Promotion Period.   Proof of submission is not proof of receipt.  Limit one (1) entry per person. Subsequent entries from the same person will be disqualified. Any attempt by a person to enter more than once with multiple Instagram accounts or any other means may result in disqualification. Automated or robotic entries submitted by individuals or organizations will be disqualified. This Promotion is in no way sponsored, endorsed or administered by, or associated with Instagram. Any questions, comments or complaints regarding this Promotion shall be directed to Sponsor and not Instagram. By entering, you release Instagram of responsibility in connection with this promotion.

DRAWING AND WINNER NOTIFICATION:   The winner of the Promotion will be randomly selected from all eligible entries received throughout the Promotion Period.  The random drawing will be conducted on or about September 6, 2024. The potential winner will be notified via Instagram direct message.  Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. If a potential winner does not respond within seven (7) days after the first notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner may be disqualified and an alternate winner may be selected.  If any potential winner is found to be ineligible, or if he or she has not complied with the Rules or Terms or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected. Each potential winner may be required to execute an Affidavit of Eligibility, a Liability Release, and (where legal) a Publicity Release (collectively, “Prize Claim Documents”). If any eligible winner is not of legal age of majority in his or her place of residence (a “minor”), at Sponsor’s option, the applicable prize either may be awarded in the name of parent or legal guardian of winner, or parent or legal guardian of winner may be required to ratify and sign all Prize Claim Documents.    

PRIZES/ODDS:    Subject to the Terms herein, the following prizes are available: A two-night stay (“Stay”) for up to two guests at a participating 1 Hotel property in the United States (AVR $2,000) , a $200 credit for dining within any food and beverage provider within the Hotel (“F&B Credit”), a $500 activities credit usable only at the Hotel’s spa or fitness center (“Activity Credit”; and together with the Stay and F&B Credit, the “1 Hotel Prize”) and a 1-year supply of AG1 (“AG1 Prize”) ( AVR USD) Total Prize     ARV: $3,500. Any difference between the approximate retail value and the actual cost of each component will not be awarded.

PRIZE TERMS: Dates of the two-night stay at a participating 1 Hotel must be confirmed by winner and Sponsor and take place before August 31, 2025. Stay is subject to availability and blackout dates. Sponsor shall determine the participating 1 Hotels (each, a “Hotel”), in its sole discretion. The prize is also subject to the following: (i) Sponsor shall determine the specifics of all elements of the 1 Hotel Prize (including, without limitation, blackout dates, guest room type, etc.) in its sole discretion, (ii) use of the 1 Hotel Prize is subject to all Hotel rules, regulations and policies (including, without limitation, occupant restrictions as determined by the room type selected by the Hotel), (iii) the room nights included in the Stay must be used on consecutive nights, (iv) the Stay shall cover the standard room rate for two (2) nights at a Hotel (subject to these terms and conditions), (v) the F&B Credit may only be used at dining outlets selected by Hotel, and by charging the bill to the winner’s guestroom folio during the Stay; the F&B Credit may only be used at dining outlets selected by Hotel, and by charging the bill to the winner’s room; (vi) the Activity Credit may only be used at the Hotel either for one spa (1) treatment (approved by Hotel) at the Hotel for up to two (2) people (subject to availability), or to schedule one (1) personal training session through the Hotel’s offered services for a maximum of two (2) participants (subject to availability), and may not be combined with any other offer or with another treatment or personal training session, and may only be used by billing such treatment or service to the winner’s guestroom folio during the Stay; (vii) the F&B Credit and Activities Credit may only be used during the Stay dates; (viii) Hotel may close the spa, gym, health facilities, any food and beverage outlet at any time for any reason; (ix) the 1 Hotel Prize does not include coverage of any expenses or other items other than as explicitly stated above, for example the prize shall not include the following: transportation costs, food and beverage costs, parking costs, tips, payment of any taxes, or payment of any resort fees; (x) photo identification and a credit card may be required at Hotel check-in to verify the prize winner’s identity and to cover any incidental charges or expenses (including all items not included in the room rate); and (xi) once a Hotel accepts the Stay and creates a reservation, the Stay cannot be cancelled or modified except as permitted by Sponsor (in its sole discretion). The winner of the 1 Hotel Prize and AG1 Prize shall comply with all requirements, failure to do so will result in forfeiture of the prizes without compensation of any kind. The listed approximate prize value is an estimate only and depending on winner and Hotel selections, the actual value of the prize may be less than the listed estimate of value. Winner shall not be entitled to any additional compensation if the actual value of the prize is less than the approximate value.

All federal, state, and local taxes and fees, including income tax, sales tax, and any other expenses arising out of the receipt and use of the prize, are solely the responsibility of the winner. Any difference between the stated estimated value of the prize and its actual value will not be awarded. Winner agrees to accept prize “as is.”

GENERAL PROVISIONS:  Entrants (and any minor entrant’s parent or legal guardian) agree, to the extent allowed by applicable law, that the Promotion Entities shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, from participation in the Promotion or any Promotion-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize.   

Except where legally prohibited, the winner grants (and agrees to confirm in writing) permission for Sponsor, AG1 and each of their advertising and promotional agencies, and those acting under the authority of each, the right to use the winner’s name and/or likeness in perpetuity for advertising and/or promotional purposes in all media now known or hereafter discovered, worldwide and on the world wide web, without notice, review, approval, or additional compensation. Delivery and use of the prize is subject to the winner’s completion of all documentation required by law or otherwise required by Sponsor. If the winner does not confirm these Terms and Conditions in writing within the time period and in the manner specified by Sponsor the prize will be forfeited, and an alternate prize winner may be selected.

De Organisator is niet verantwoordelijk voor schade aan de computer of het telefoonsysteem van een deelnemer als gevolg van het bezoeken van de Website of anderszins deelnemen aan de Actie, of voor storingen in het computersysteem, de telefoonlijn, hardware, software of programma's, of andere fouten, storingen of vertragingen. Zonder beperking van de algemeenheid van het voorgaande, is noch de Sponsor noch AG1 verantwoordelijk voor onvolledige, onleesbare, verkeerd geadresseerde, verkeerd gedrukte, te late, verloren, beschadigde, gestolen of te laat ingestuurde inzendingen of prijsmeldingen; of voor verloren, onderbroken, ontoegankelijke of niet-beschikbare netwerken, servers, satellieten, internet service providers, websites of andere verbindingen; of voor miscommunicatie, mislukte, warrige, vertraagde of verkeerd gerichte computer-, telefoon- of kabeltransmissies; of voor technische storingen, mislukkingen, moeilijkheden of andere fouten van welke aard of soort dan ook; of voor het onjuist of onnauwkeurig vastleggen van informatie, of het niet vastleggen van informatie.  

De Organisator behoudt zich het recht voor om naar eigen goeddunken personen te diskwalificeren van deze Actie en alle andere acties die worden aangeboden door de Organisator, die het inschrijfproces of de werking van de Actie of de Website verstoren, die handelen in strijd met deze Officiële Regels, of die handelen op een onsportieve of verstorende manier, of met de intentie om de legitieme werking van de Actie te verstoren of te ondermijnen, of om andere personen te ergeren, misbruiken, bedreigen of lastig te vallen. Er worden geen mechanisch gereproduceerde, onleesbare, onvolledige, vervalste, door software gegenereerde of andere geautomatiseerde meervoudige inzendingen geaccepteerd.  

In het geval van een geschil over de identiteit van de deelnemer, wordt elke online inzending geacht te zijn ingediend door de bevoegde accounthouder van de Instagram-account van waaruit de inzending is verzonden, op voorwaarde dat deze accounthouder nog steeds voldoet aan de vereisten om in aanmerking te komen voor de Actie.  

Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. Sponsor will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the Rules or the Promotion and its decisions shall be final. If the conduct or outcome of the Promotion is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference or any event beyond the control of Sponsor, Sponsor reserves the right to terminate this Promotion, or make such other decisions regarding the outcome as it deems appropriate. All decisions will be made by Sponsor, and are final. Sponsor may waive any of these rules in its sole discretion. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER PERSON TO DELIBERATELY CIRCUMVENT, DISRUPT OR DAMAGE ORDINARY AND NORMAL OPERATION OF THIS PROMOTION, TELEPHONE SYSTEMS OR WEB SITES, OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT OR OTHER PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to any entry, the authorized account holder of the email address used to register the applicable Instagram account will be deemed to be the entrant.

LIMITATION OF LIABILITY: By entering this Promotion, you waive all right to, and release and hold the Promotion Entities, Instagram, and their respective affiliates, subsidiaries, and agencies, and all of their respective officers, directors, shareholders, partnership, members, principals, employees, agents, contractors or suppliers, harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys’ fees) of any kind relating to, arising out of or in connection with participation in this Promotion or the acceptance, use, or misuse of any prize and claims based on publicity rights, copyright, trademark, defamation or invasion of privacy. Except where prohibited, you agree that any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred in entering this Promotion. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE ANY AND ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA, WHICH PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” You expressly waive and release any right or benefit which you have or may have under Section 1542 of the Civil Code of the State of California, to the full extent that you may waive all such rights and benefits pertaining to the matters released here. In connection with such waiver and relinquishment, you acknowledge that you are aware that you may hereafter discover claims presently unknown or unsuspected, or facts in addition to or different from those which you now know or believe to be true, with respect to the matters released herein; nevertheless, it is your intention through this release to fully and finally and forever settle and release all such matters and claims relative thereto, which do not exist, may exist or heretofore have existed between yourself and the Promotion Entities related to the Promotion. The release herein given shall be and remain in effect as a full and complete release of such claims and matters notwithstanding the discovery or existence of any such additional or different claims or facts relative thereto.
